Selling SAS - Shares or Fonds de Commerce

Hello - I am back asking you questions as we lost our previous buyer I am afraid. On selling our SAS, Is it better to sell the shares or sell as a Fonds de Commerce? I know that on selling the shares, there is less tax to pay than a Fonds de Commerce, but does this mean that the new buyer would get every penny that is left in the business account, even if we have never drawn a penny from it for ourselves in 13 years, including any salary?
